These Terms of Use ("Terms") govern your access to, and use of the online services provided by Novocure GmbH and its affiliates and subsidiaries ("Novocure", "we", "us", or "our"), including our websites, web portals and pages, mobile and desktop applications, and any related online features (collectively, the "Services").

 

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy (including any country- or channel-specific privacy notices), which are incorporated by reference. If you do not agree, do not use the Services.

 

  1. Who may use the Services; intended audience

The Services—and the content made available through them—may be intended for residents of a specific country or for specific audiences (for example, healthcare professionals). We may deploy country- or audience-specific versions of the Services. If a Service (or part thereof) specifies a country or audience and you are not within that country or audience, do not use that Service.

 

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and are legally able to enter these Terms.

 

This Website is Intended for a U.K. Audience

Although accessible by others, the Website and its content are primarily intended for access and use by U.K. residents.

 

  1. Changes to the Services and to these Terms

We may update the Services and these Terms from time to time. The "Effective date" above shows when these Terms were last revised. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

 

  1. Accounts and access-controlled areas

To access certain features, you may need to register an account and provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must promptly notify us of any unauthorized use.

 

Additional terms may apply to specific features; where they do, those terms will be presented to you and will become part of your agreement with us.

 

  1. No medical or professional advice

The Services may include information about Novocure products, programs or services. They do not provide medical advice, diagnosis or treatment and are not a substitute for professional medical advice from a qualified healthcare professional. Do not use information obtained through the Services as the basis for health-related decisions without consulting a qualified clinician. We do not endorse any particular treatment, product or service discussed on the Services. Where videos or photographs show people using Novocure products, these may depict patients or actors and are for illustrative purposes only.

 

  1. Personal data and privacy

Your use of the Services is subject to our Privacy Notice, which describes how we collect, use, disclose and protect personal data, and to any country- or Service-specific privacy notices (for example, mobile app permissions, cookies, and SDK disclosures). Please review the Privacy Policy carefully. You must ensure information you provide is accurate and complete and promptly notify us of changes.

 

  1. License and permitted use

    1. License to use the Services

    Subject to these Terms, Novocure grants you a limited, revocable, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use.

    1. End-User License for Apps

    Where you download or access a Novocure application (an "App"), Novocure grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of the App on a device that you own or control solely for personal, non-commercial use and only as permitted by these Terms and the app-store rules (see Section 13).

    1. Restrictions

    You will not: (a) copy, modify, adapt, translate, reverse engineer, decompile or disassemble any part of the Services except to the extent permitted by law; (b) remove or alter proprietary notices; (c) use any "robot," "bot," "spider," "scraper" or other automated means to access the Services without our prior written permission; (d) use the Services for commercial purposes or to develop competing services; (e) interfere with or disrupt the Services or circumvent security features; (f) deep-link to any page other than the Services' home pages without prior written permission; or (g) use the Services in any unlawful or misleading manner or in violation of applicable laws, regulations or guidance.

 

  1. Intellectual property

The Services and all content therein—including text, graphics, images, software, code, designs and the selection and arrangement of the foregoing—are owned by or licensed to Novocure and are protected by intellectual property laws. You may view the content for your personal, non-commercial use, but no other rights are granted to you. Novocure®, the Novocure® logo, Optune Gio®, Optune Lua®, and MyLink® are trademarks or registered trademarks of Novocure GmbH in the EU and/or other countries. Other names and logos are the property of their respective owners. Nothing in the Services grants any license to use any trademark or logo without prior written permission.

 

  1. User submissions and feedback

If you send ideas, suggestions, feedback or materials ("Feedback") to us, you grant Novocure a worldwide, perpetual, irrevocable, royalty free license to use, reproduce, modify and exploit the Feedback for any purpose without restriction or compensation.

 

  1. Third-party content, links and services

The Services may reference or link to third-party websites, content, SDKs or services. These are provided for convenience only. We do not control or endorse third-party content and are not responsible for it. Your use of third-party services may be subject to additional terms and privacy policies of those third parties.

 

  1. Updates, availability and changes

We may add, modify, suspend or discontinue any part of the Services at any time without notice. We do not guarantee that the Services (including any App) will be uninterrupted or error free or that defects will be corrected. We may from time to time automatically update an App and/or require you to install updates to continue using it. You consent to receiving such updates.

 

  1. Export, sanctions and geographic restrictions

You must not use or export the Services (including any App) in violation of applicable export control or sanctions laws. We may restrict access to the Services based on geography or audience (for example, HCP-only content).

 

  1. Disclaimer of warranties

The Services are provided "as is" and "as available", free of charge and without warranties of any kind, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services are accurate, complete, up-to-date, secure, free from errors, viruses or other harmful components, or that they will meet your requirements.

 

  1. Platform terms for Apps

When you obtain an App through an app store (e.g., Apple App Store or Google Play), you also agree to the app store's terms. To the extent permitted by law: (a) the app-store provider is not responsible for providing any maintenance or support for the App; (b) Novocure, not the app-store provider, is responsible for addressing claims relating to the App or your possession and/or use of the App; (c) in the event of a failure of the App to conform to any applicable warranty, you may notify the app-store provider, and the app-store provider may refund the purchase price (if any) for the App, and to the maximum extent permitted by applicable law, the app-store provider will have no other warranty obligation; and (d) you represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country and are not listed on any U.S. Government list of prohibited or restricted parties.

 

  1. Miscellaneous Limitation of liability

To the maximum extent permitted by law, Novocure and its directors, officers, employees and agents will not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

 

Our total aggregate liability arising out of or related to these Terms or the Services shall not exceed EUR 100 (or the equivalent in local currency) or, if you paid a fee for the relevant Service, the amount you paid for that Service in the 12 months preceding the event giving rise to the claim—whichever is greater. The foregoing does not limit liability that cannot be limited under applicable law (e.g., for death or personal injury caused by negligence or for fraud).

 

  1. Miscellaneous Limitation of liability

You agree to indemnify, defend and hold harmless Novocure and its affiliates, directors, officers, employees and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services or your violation of these Terms or of any applicable law.

 

  1. Suspension and termination

We may suspend or terminate your access to the Services (in whole or in part) at any time and for any reason, including if we reasonably believe that you have violated these Terms. Upon termination, the licenses granted to you under these Terms will end, and you must cease all use and delete or uninstall any Apps from your devices.

 

  1. Miscellaneous
  • Entire agreement. These Terms constitute the entire agreement between you and us regarding the Services and supersede any prior terms for separate websites or apps.
  • No waiver. A failure to enforce a provision is not a waiver of our rights.
  • Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remainder will remain in full force and effect.
  • Assignment. You may not assign or transfer these Terms. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or asset sale.

 

  1. Governing law and jurisdiction

These Terms, their subject matter and formation are governed by German law. You and we agree to the non-exclusive jurisdiction of the courts in Munich, Germany. If you are a consumer resident in another country of the European Union, the United Kingdom or Switzerland and you use the Services for private purposes, you may also bring proceedings in the courts of your country of residence. Mandatory consumer protection rules of your country of residence will apply in addition to these Terms.
